9.2 Direct Damages

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT YOU PAID TO ACCESS THE SITE (IF ANY) OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Copilot Equipment LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of any rights of another party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.

11. Geographic Restrictions and Governing Law

11.1 Geographic Scope

The Site is controlled and operated from the United States and is intended for users located in the United States. We make no representation that the Site is appropriate or available for use outside the United States.

If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

11.2 Governing Law

These Terms and any dispute arising from your use of the Site are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

11.3 Jurisdiction and Venue

You agree that any legal action or proceeding relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas. You consent to the personal jurisdiction of these courts and waive any objection to venue.

11.4 Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at info@copilotequipment.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith.

12.2 Arbitration Agreement

If informal resolution is unsuccessful, you agree that any dispute arising out of or relating to these Terms or the Site (except disputes relating to intellectual property rights or injunctive relief) shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

12.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND COPILOT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, REPRESENTATIVE ACTION, OR COLLECTIVE PROCEEDING.

12.4 Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights without first engaging in arbitration.

13. Termination

13.1 Termination by You

You may stop using the Site at any time. If you have submitted information you wish to have deleted, please
contact us at info@copilotequipment.com.

13.2 Termination by Us

We reserve the right to:

• Suspend or terminate your access to the Site at any time, with or without cause or notice
• Remove or disable any content at any time for any reason
• Modify or discontinue the Site or any features without notice

13.3 Effect of Termination

Upon termination:

• Your right to use the Site immediately ceases
• Provisions of these Terms that by their nature should survive (including intellectual      property rights, disclaimers, limitations of liability, indemnification,      and dispute resolution) will remain in effect

15. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Copilot.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Copilot Equipment LLC regarding the Site and supersede all prior agreements and understandings, whether written or oral.

17. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

18. Force Majeure

Copilot shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
